We designed this Statutory Supplement for use with Lynn M. LoPucki and Andrew Verstein, Business Associations: A Systems Approach (Aspen 2nd edition 2024). But it will work as intended when used with any of the Business Associations or Corporations casebooks typically used in American law schools. It contains the entire text of the most recent versions of the Uniform Partnership Act, the Uniform Limited Liability Company Act, the Uniform Limited Partnership Act, the Delaware General Corporation Law, the Model Business Corporation Act, UCC Article 8, and the Uniform Voidable Transactions Act. It also contains selected provisions of the Restatement (Third) of Agency and the Securities Exchange Act and Rules. This book uses an 11-point font-larger than competing statutory supplements. A two-column format, square paragraphing, and complete running heads make this book easier and less stressful to use.
